1. Agreement to Terms
By accessing or using any apps, services, or websites provided by Neighborhood Technology Solutions LLC ("we," "us," or "our"), including but not limited to Town Square, CommonShelf, SecureShelf, RoozCast, MyCircles: Concentric Circles, Unveiled: Commit to Heart, Monet or Manet, and Inkify, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.
2. Eligibility and Age Requirements
- General Use: You must be at least 13 years of age to create an account or use our services.
- Independent Contractors: To register as a contractor within Town Square, you must be at least 16 years of age. Users aged 16-17 must have their account linked to a parent or guardian.
- Age-Restricted Features: Certain features or third-party integrations may require you to be 18 years of age or older to comply with financial or legal verification requirements.
3. Product-Specific Terms
Town Square and Independent Contractors
- Relationship: We provide a platform to connect users and contractors. We are not an employer, agent, or representative of any independent contractor.
- Indemnification: You agree to release, indemnify, and hold us harmless from any claims, liabilities, or damages arising out of contractor work performance or disputes between users.
- Verification: Contractor identity and background checks are facilitated through Persona and Checkr. You agree to provide accurate information for these checks.
CommonShelf
- Open Shared Product: CommonShelf is designed for shared inventory tracking in an open collaborative environment. It is not intended for confidential, regulated, or secret inventories.
- Shared Visibility: Location names, inventory entries, notes, history, notification metadata, and other content entered into CommonShelf may be visible to other CommonShelf users participating in the shared system. Do not submit information you expect us or other users to treat as private.
- User Responsibility: You are responsible for the accuracy, lawfulness, and appropriateness of the items, notes, names, and other content you add. You are also responsible for removing or correcting information that should not have been shared.
- Names and Moderation: We may reject, block, remove, or require changes to location names, display names, attribution text, or other submitted text that we reasonably consider offensive, abusive, misleading, unlawful, or otherwise inappropriate for the shared product environment.
- Deletion Requests and Support: CommonShelf may offer deletion request or support flows for shared locations, but deletion of data from our systems does not guarantee removal of information other users already viewed, copied, exported, or recorded outside the service.
SecureShelf
- Private Role-Based Product: SecureShelf is a paid inventory service designed for private location access, role-based collaboration, and accountability over shared changes.
- Roles and Responsibility: Location owners, editors, and viewers have different permissions. You are responsible for actions taken through your account, for assigning access only to authorized people, and for reviewing member roles, notification settings, exports, and deletion requests where those controls are available to you.
- Audit and Approval Workflows: SecureShelf may record inventory changes, member changes, billing-state changes, exports, support views, and deletion-related actions in auditable records. Certain destructive or high-risk actions may require request-and-approval workflows rather than immediate deletion.
- Billing-State Effects: Some SecureShelf features depend on an active paid billing state. We may restrict location creation, editing, invitations, deletion approvals, exports, or related administrative actions when billing is overdue, canceled, suspended for fraud or security reasons, or otherwise inactive.
- Exports and Local Handling: SecureShelf may provide export bundles or reports for continuity purposes. Once an authorized user downloads exported files, that user is responsible for safeguarding them and for any further sharing, retention, or deletion outside our systems.
RoozCast
- Personal Productivity Tool: RoozCast is provided as a personal productivity, check-in, task organization, and reflection tool. You are responsible for reviewing, editing, and deciding how to use any transcript, summary, task, reminder, or calendar item generated by the app.
- AI Processing and Output: RoozCast asks for explicit consent before selected personal content is sent to Google Gemini/Vertex AI, OpenAI, or Anthropic for transcription, summaries, search, briefings, or assistant features. You may decline or revoke that consent in Settings. AI output may be incomplete, inaccurate, delayed, or unsuitable for your circumstances. RoozCast does not provide professional, legal, medical, financial, or emergency advice.
- No Emergency Reliance: RoozCast is not an emergency communications, crisis response, medical monitoring, or safety-critical service. Do not rely on RoozCast to contact emergency services, preserve urgent information, or guarantee delivery of time-sensitive reminders.
- User Content and Conduct: You are responsible for the check-ins, typed entries, audio recordings, tasks, categories, shared planning spaces, comments, suggestions, and other content you create or submit. You may not use RoozCast to upload unlawful, threatening, sexually exploitative, abusive, infringing, harmful, deceptive, or privacy-invasive content. RoozCast may automatically reject high-confidence objectionable content, remove content, restrict access, or suspend abusive use. Shared spaces provide controls to report objectionable content and block another user; reports are reviewed through the published support process.
- Connected Services: If you authorize Google Calendar, Google Tasks, Notion, Fireflies, or any other integration, you authorize RoozCast to use that connection to read, create, update, or sync information needed for the features you enable. You remain responsible for the accuracy of synced information and for managing access in the connected service.
- Availability and Limits: RoozCast depends on mobile operating systems, networks, Firebase/Google Cloud, AI providers, and optional connected services. We may impose reasonable rate limits, suspend abusive usage, or change feature availability to protect reliability and security.
- Subscriptions: RoozCast has no free plan. Core and Pro are auto-renewing subscriptions offered through the Apple App Store and Google Play at the localized price and billing period shown before purchase. Any trial length, post-trial price, renewal terms, and eligibility are shown by the store and require your confirmation. Subscriptions renew unless canceled through the applicable store at least 24 hours before renewal where required by store terms. Restore Purchases restores verified subscription access, not deleted local workspace data. Pro web access and account-dependent integrations require linking an account.
- Account Export and Deletion: RoozCast provides in-app tools to export supported account data and permanently delete either an anonymous or linked account. Deletion may remove data needed to restore previous check-ins, does not cancel an App Store or Google Play subscription, and may retain limited billing, fraud-prevention, security, legal-hold, and audit records. Shared-content safety reports may be retained for up to 180 days with the user's identifiers redacted after deletion unless a longer legal or security hold applies.
- Ownership: You retain ownership of your personal check-in content. We retain ownership of RoozCast's app design, software, workflows, branding, prompts, and other proprietary materials.
MyCircles: Concentric Circles
- Local-First Product: MyCircles is a local-first relationship mapping and project organization tool. Core project data may remain on your device unless you sign in or choose cloud features such as cloud projects, snapshot sharing, Live Share collaboration, AI Ask, billing, backup/sync, or map tools.
- Sensitive Relationship Data: You are responsible for the people, bios, attributes, relationships, notes, narratives, addresses, and other information you enter. Do not add sensitive personal information unless you have a lawful basis and appropriate permission to use it.
- Sharing and Collaboration: If you create a snapshot link, invite collaborators, allow email-restricted access, or enable Live Share, you are responsible for who receives access and for removing access when it is no longer appropriate. Collaborators may see and edit shared project content according to the features and permissions you enable.
- AI Ask: AI Ask is an assistive project-copilot feature. It may be incomplete, inaccurate, delayed, or unsuitable for your circumstances. You are responsible for reviewing AI output before relying on it. MyCircles does not provide legal, medical, financial, emergency, or professional advice.
- Maps and Geocoding: Map, autocomplete, and geocoding features, including Google Places/geocoding and OpenStreetMap map tiles where used, are provided for convenience. Address suggestions, coordinates, distances, and map displays may be incomplete or inaccurate, and you are responsible for reviewing them before using them for decisions or outreach.
- Exports, Imports, and Snapshots: MyCircles may provide export, import, archive, migration, and snapshot tools. You are responsible for safeguarding exported files, QR codes, links, and imported data. A shared snapshot or exported archive may contain project content and relationship information.
- Account Deletion: Account deletion is intended to remove your authenticated account and cloud data controlled by us, but it may not remove local data on devices, exported files, data already imported or copied by collaborators, provider billing records, or records we must retain for legal, security, fraud-prevention, or billing reasons.
Unveiled: Commit to Heart
Account linking is optional but required for cross-device synchronization.
Monet or Manet
- Artistic Content: The app features digital representations of artworks by Claude Monet and Édouard Manet. While the original artworks are in the public domain, the specific digital reproductions, educational descriptions, and game interfaces are our intellectual property.
- Leaderboard Conduct: You are responsible for the player name you choose when submitting scores to the global leaderboard. We reserve the right to remove or rename entries that include offensive, inappropriate, or infringing language without notice.
- Usage: The app is intended for your personal and educational use only. You may not use the app or its content for commercial purposes. This restriction applies to your use of the app and does not limit our right to monetize the app through advertising or in-app purchases.
- Advertising: The app displays advertisements served by Google AdMob. We are not responsible for the content of third-party advertisements. An in-app purchase is available to permanently remove advertisements.
- In-App Purchases: The app offers a one-time purchase to remove advertisements. All transactions are processed by the Apple App Store (iOS) or Google Play Store (Android). Their respective refund policies apply. We do not store your payment information.
Inkify
- Not a Law Firm: We are a technology provider, not a law firm. Inkify provides a platform for document automation and signature collection; it does not provide legal advice, document review, or legal opinions. You are solely responsible for ensuring that your templates and captured signatures meet applicable legal requirements and the intent-to-sign standards of your jurisdiction.
- License & Fair Use: Each Inkify owner license or Enterprise subscription is granted to a single authorized Google Account unless the customer has officially purchased organization-owned transferable seats. License sharing, pooled seats, credential sharing, resale, or using one paid account as a shared administrative account is prohibited outside an official organization seat. Organization seats may be assigned, revoked, and transferred only by authorized organization owners, seat admins, or naborlydone support acting on an audited support request. We reserve the right to monitor usage volumes and audit accounts that demonstrate usage patterns suggestive of credential sharing, resale, or other forms of platform abuse.
- Organization-Owned Team Seats: Team Seats are transferable organization-owned entitlements managed through Inkify Hub. Exact-email assignment works immediately after a seat is available. Organization owners and seat admins are responsible for assigning seats only to authorized users, revoking access when a user no longer needs an organization-provided seat, and keeping owner, seat-admin, and assigned-user email addresses accurate. Domain requests do not automatically verify or approve a domain, and removing a domain does not automatically revoke assigned seats. Revoking or transferring a seat removes the organization-provided entitlement from the prior assignee; that user may continue only under a separate personal Enterprise subscription, personal paid license, or Free Trial/free tier if otherwise available.
- Security & Liability: Inkify is designed to operate within your Google ecosystem. You are responsible for Google Drive permissions, form configuration, administrative credentials, exposed license keys, template access, and other configuration choices. You are the custodian of documents generated through the service.
- Customer-Owned, Zero-Knowledge Custody: For Inkify, zero-knowledge custody means Neighborhood Technology Solutions LLC does not host, retain, or control your customer-owned form answers, signatures, signed PDFs, response Sheets, templates, signed-copy email content, customer storage contents, private workflow records, or customer-managed signing private keys. We may retain limited admin, license, organization seat, support, safe configuration, routing, profile, finalized-submission usage, and operational metadata needed to run the service. We cannot recover signed documents, restore lost Google Drive access, reconstruct lost private keys, or retrieve records that exist only in your Google Workspace. You are responsible for backups, retention, access controls, and key custody.
- Signer-Owned Profiles: Optional saved prefill profiles are owned by the signer, not the form owner. A signer may use Inkify without creating a profile. If a signer uses a profile, they are responsible for reviewing prefilled answers before submitting any form.
- Profile Deletion: Deleting an Inkify saved profile removes saved Inkify profile details and related profile authentication/session/consent records from profile storage. It does not delete Google Form submissions, signed PDFs, signed-copy emails, response rows, or other records already submitted to or processed by a form owner.
- Verification Tool & Evidence Seal: The public Inkify verification tool checks the embedded Inkify evidence manifest and customer-owned cryptographic seal locally in the browser where supported. It does not upload your PDF to naborlydone, does not determine whether your waiver or contract is legally sufficient, and is not a substitute for an Adobe-certified, PAdES, qualified digital signature, notarization, identity-proofing, or legal review workflow.
- Inkify Help: Inkify Help is product guidance, not legal advice, document review, or a substitute for qualified professional advice. It answers from approved Inkify product, setup, privacy, terms, and public-support-safe knowledge and may be incomplete, inaccurate, or unavailable. Support tickets drafted by Inkify Help require user-reviewed submission; no ticket is submitted until you review the draft and choose to send it. Do not submit customer-owned form answers, signatures, PDFs, response Sheet rows, Drive file contents, templates, private signing keys, member profiles, signer workflow state, or raw form content to Inkify Help.
- Electronic Signature Compliance: Inkify is designed to support U.S. ESIGN/UETA-style electronic signature workflows where signers receive electronic records/signature consent, show intent to sign, and the system records operational evidence. We do not guarantee that every document, transaction, or jurisdiction will accept the workflow. You remain responsible for obtaining any required consent and confirming legal, regulatory, industry, and recordkeeping requirements with qualified counsel.
- Unsupported or Special-Case Transactions: Inkify is not built for notarization, wills, codicils, testamentary trusts, family-law records or notices, foreclosure notices, eviction notices, utility shutoff notices, product recall notices, UCC transferable records, high-assurance identity proofing, or any specialized regulated signing ceremony unless we separately confirm support in writing.
4. Payments, Subscriptions, and Refunds
Unveiled: Commit to Heart
- All in-app purchases and subscriptions for Unveiled are handled by the Apple App Store or Google Play Store. Their respective refund policies apply.
MyCircles: Concentric Circles
- MyCircles subscriptions renew monthly. Payment, renewal, cancellation, taxes, fees, refunds, and final displayed prices are managed by the applicable provider: Apple App Store, Google Play, Stripe, or another disclosed processor. Cancel through the same provider that manages your subscription. Deleting your MyCircles account does not automatically cancel App Store, Google Play, or Stripe billing.
SecureShelf
- SecureShelf paid locations may be billed on recurring monthly or annual cycles depending on the plan shown at checkout. Payment, renewal, cancellation, taxes, fees, and final displayed prices are managed by Stripe or another disclosed processor. Cancel through the applicable billing portal or processor flow. Removing a member, leaving a location, or deleting local copies of exported data does not automatically cancel SecureShelf billing.
Inkify
- Tier Structure & Pricing: Inkify offers three distinct tiers of service:
- Free Trial: Includes the first 50 finalized Inkify-hosted form submissions at no cost.
- Lifetime License: A one-time base service price of $19.99 for unlimited signature events, before applicable taxes, payment processor fees, platform fees, or checkout fees shown before purchase.
- Enterprise Subscription: A monthly recurring base service price of $29.99 for premium admin, workflow, signer routing, branding, white-label delivery, and payment-collection setup features, before applicable taxes, payment processor fees, platform fees, or checkout fees shown before purchase.
- Organization-Owned Team Seats: Standard Team Seats provide paid standard access for assigned users while the seat remains active. Enterprise Team Seats provide Enterprise access for assigned users while the Enterprise seat subscription remains active. Team Seats are assigned, revoked, and transferred in Inkify Hub. Bulk promotion codes such as BULK20 apply only to eligible Standard/base-seat checkout orders that satisfy the payment processor's product and minimum-amount rules; Enterprise subscription seats are not discounted by BULK20 unless a separate promotion is shown at checkout.
- Signer Saved Profile: An optional signer-owned profile priced at $2/month or $20/year per profile, paid by the signee who chooses to use saved prefill details, before applicable taxes, payment processor fees, platform fees, or checkout fees shown before purchase.
- Tier Independence: Lifetime License and Enterprise are separate form-owner offerings. A Lifetime License provides standard signing access, while an active Enterprise subscription unlocks Enterprise-only features for the subscribed administrative Google Account. Enterprise does not include the retired member portal.
- Payment Processing: naborlydone license purchases, Enterprise subscriptions, organization-owned Team Seat purchases and upgrades, and signer saved-profile subscriptions are processed securely through Stripe or another disclosed third-party payment processor. Displayed service prices are base prices; the final checkout total may differ because of pass-through taxes, payment processor fees, platform fees, or checkout fees shown before purchase. By purchasing a license, buying Team Seats, upgrading Team Seats, or starting a subscription, you agree to the payment processor's terms and privacy policy. We do not store your credit card information or full financial details on our servers. Customer payment collection inside Inkify forms requires Enterprise and a connected form-owner Stripe account. Inkify does not currently add an application fee for customer payment collection, but Stripe and connected-account fees may apply.
- Subscription Cancellation: Users may cancel eligible Enterprise, organization Enterprise Team Seat, or saved-profile subscriptions through the applicable customer portal when available.
Access Change: Upon cancellation, personal Enterprise access continues until the end of the paid billing period, then Enterprise-only features are disabled. If the account also has a Lifetime License, standard paid signing features remain available. Organization Enterprise Team Seat cancellation, failed renewal, chargeback, fraud review, or abuse suspension may remove the organization-provided Enterprise entitlement from assigned users and may revoke affected organization Enterprise seat assignments according to the billing state. We may suspend or terminate access sooner for abuse, fraud, chargebacks, security risk, or material violation of these Terms.
Feature Removal: When Enterprise access ends, Enterprise-exclusive features such as custom branding, advanced workflow controls, signer routing, personalized success screens, and white-label delivery will no longer be available, though standard Inkify functionality will remain intact when the user still has a separate standard license or active Standard Team Seat. When a saved-profile subscription ends, profile prefill access may be suspended or limited while ordinary form submission remains available.
- Refund Policy: Lifetime Licenses: Due to the digital nature of the product and the availability of a 50-finalized-submission Free Trial for testing, all Lifetime License purchases are final and non-refundable.
Team Seats: Standard Team Seat purchases are final and non-refundable once provisioned except where required by law or granted at our discretion for billing error or technical failure. Enterprise Team Seat subscription fees are non-refundable once the billing period starts.
Enterprise Subscriptions: Monthly subscription fees are non-refundable. If you cancel mid-cycle, you will retain access until the end of the current period, but no prorated refunds will be issued unless required by law or granted at our discretion.
Saved Profiles: Monthly or annual saved-profile fees are non-refundable except where required by law or granted at our discretion for billing errors or technical failure.
Administrative Discretion: In exceptional circumstances (such as technical failure or billing errors), we may, at our sole discretion, issue a refund or account credit.
5. User-Generated Content (UGC)
- Ownership: You retain ownership of the text, photos, and videos you post.
- License: By posting content in social or community areas, you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to host, display, and distribute that content within our ecosystem to provide the service. This general UGC license does not apply to Inkify form answers, templates, signatures, signed PDFs, contract data, member profile data, or other customer document content processed for an Admin's signing workflow.
- Prohibited Content: We maintain a zero-tolerance policy for Child Sexual Abuse Material (CSAM) and any content that exploits minors. Violations will result in immediate account termination and reporting to law enforcement where required.
6. Third-Party Services
Our services integrate with third-party providers, including Stripe (SecureShelf billing, naborlydone license, subscription, and saved-profile billing; customer payment collection only if separately enabled and configured), Apple App Store and Google Play (MyCircles subscription billing where applicable), Persona (identity), Checkr (background checks), Google and Firebase (including CommonShelf and SecureShelf authentication, database, storage, functions, sign-in, push messaging, hosting, and related cloud services), Apple Sign-In, OpenStreetMap (map tiles where used), Cloudflare (routing and site infrastructure, plus Inkify Hub, profile storage, and organization seat management), Zoho ZeptoMail (CommonShelf and SecureShelf notification email delivery and verification, plus Inkify profile login-code email delivery), Google Gemini/Vertex AI, OpenAI, and Anthropic (AI processing where configured), Notion (optional workspace sync), Sentry (crash reporting), Fireflies (optional meeting context), Expo (push notifications), Loops (website mailing-list email subscriptions), and Supabase (MyCircles authentication, data storage, realtime collaboration, Edge Functions, and supported product infrastructure). By using features that rely on these providers, you also agree to the applicable terms and privacy policies of those providers.
7. Intellectual Property
All original content, app interfaces, logos, and software logic are our exclusive property. You may not decompile, reverse engineer, or attempt to extract the source code of our apps, except where such restrictions are prohibited by applicable law.
8. Disclaimer of Warranties and Limitation of Liability
- As-Is Basis: Our products are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
- Liability Cap: To the maximum extent permitted by law, our total aggregate liability for any claim arising out of these Terms will not exceed the total amount you paid us in the 12 months preceding the claim.
9. Governing Law and Dispute Resolution
- Governing Law: These Terms are governed by the laws of the State of Illinois.
- Arbitration: Any dispute will be resolved through binding arbitration in Cook County, Illinois.
- Class Action Waiver: You agree to bring claims only in your individual capacity, not as a plaintiff or class member in any class or representative action.
10. Changes to Terms
We may modify these Terms at any time to reflect changes in our services, the law, or our business philosophy. We will notify you of material changes at least 90 days before the revised Terms take effect. Your continued use of the service after the effective date constitutes acceptance of the revised Terms.
11. Successorship and Continuity
As an independent "Owner-Operator" entity, we prioritize stability over acquisition. In the event of any future transfer of rights or assets, our Stability Promise and Privacy Standards are a non-negotiable condition of the agreement. Any successor must agree to honor these commitments, or provide users with at least 90 days' notice to export and delete their data prior to the transfer.
